These Terms of Service ("Terms") are a binding agreement between you and MRGNZ LLC, doing business as MRGNZ ("MRGNZ", "we", "us"), 2626 Cole Avenue, Suite 300, Dallas, TX 75204. They govern your use of the MRGNZ website, web application, and related services (the "Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" means that business.

1. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract. The Service is for businesses, not consumers.
You are responsible for keeping your login credentials confidential and for all activity under your account, including activity by team members you add.
You must provide accurate account and business information and keep it current.
We may suspend or terminate accounts that violate these Terms, fail to pay, or create legal or security risk.

2. Fees, billing, renewal and refunds

Automatic renewal disclosure. The MRGNZ subscription is $599.00 charged once at signup (the "Setup Fee"), then $129.99 per month, billed automatically to your payment method every month until you cancel. Additional team seats are $29.99 per seat per month, billed automatically until removed. You can cancel the monthly subscription at any time through the checkout provider's customer portal or by emailing support@mrgnz.com; cancellation takes effect at the end of the current billing period and no further charges are made.

Payment processing is handled by our checkout provider (currently Commas). Their terms apply to the payment transaction. We never see or store your full card number.
Setup Fee covers account provisioning and onboarding and is non-refundable once your account has been activated.
Monthly fees are non-refundable for the period already billed. When you cancel, you keep access through the end of the paid period.
Failed payments. If a renewal payment fails, your account becomes read-only until payment is made. Your data is retained for at least 90 days after lapse.
Price changes. We may change prices with at least 30 days' notice by email; changes apply to your next renewal after the notice period. Continued use after that date is acceptance of the new price.
Prices exclude taxes. You are responsible for any applicable sales or use tax.

3. Team seats

You may give additional people ("team members") access to your account by purchasing seats. Team members see and can edit all businesses, financial data and invoices in your account. You are responsible for who you add, for removing them when appropriate, and for their compliance with these Terms. One seat corresponds to one person; sharing a login between people is not permitted.

4. Acceptable use

You agree not to: use the Service for anything unlawful or fraudulent; issue invoices for goods or services not actually provided or agreed; send messages to people who have not asked for them; upload malicious code or attempt to access other accounts or our systems; scrape, copy, resell or reverse-engineer the Service; use the Service to store data you do not have the right to store; or use MRGNZ's name, logo or the Service in a way that suggests we endorse your business.

5. Invoices, text messages and emails you send

MRGNZ lets you create invoices and send them to your customers by email or text message, and lets your customers approve invoices through a private link. You are the sender of every invoice, email and text sent from your account; MRGNZ is a technology platform acting on your instructions. You agree that:

Consent. You will only send text messages to phone numbers whose owners have given you prior express consent to receive texts from your business about their transaction (for example, a customer who gave you their mobile number for their job and agreed to be contacted by text). You will honor opt-out requests immediately and will not text anyone who has replied STOP or otherwise asked you to stop. You are responsible for compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA Messaging Principles, and any state law that applies to your messages.
Content. Messages sent through MRGNZ must be transactional (invoices, approvals, payment information) and about a real transaction with that customer. You will not use the Service for marketing blasts, cold outreach, or any content that is misleading, abusive, or prohibited by carriers.
Accuracy. You are responsible for the accuracy of every invoice: amounts, taxes, descriptions, terms and your business identification. Sales tax calculations in the Service are based on the rate you enter and are not tax advice.
Approvals. An approval recorded through an invoice link shows that someone with the link entered a name and clicked Approve. It is a record of that action, with a timestamp, and is provided as a convenience. Whether it constitutes a legally binding acceptance in your situation depends on your own contracts and applicable law; consult your attorney about your agreements with your customers.
Your customers' data. Names, emails, phone numbers and addresses of your customers that you enter belong to you. You represent that you collected them lawfully and have the right to store and use them in the Service. We process them only to provide the Service to you (see the Privacy Policy).
Indemnity. You will defend, indemnify and hold harmless MRGNZ from claims, fines, carrier penalties and costs (including reasonable attorneys' fees) arising from messages you send, invoices you issue, or your customers' data, including any TCPA or CAN-SPAM claim.
We may suspend messaging features for any account that receives complaints, high opt-out rates, or carrier flags.

6. SMS program terms (for recipients of text messages)

Program name: MRGNZ Invoice Notifications, sent on behalf of the business named in the message.

Description: Transactional text messages containing invoices, approval links and payment information from a business you have a transaction with.

Message frequency: Varies by transaction; typically 1–3 messages per invoice. Message and data rates may apply.

Opt out: Reply STOP to any message to stop receiving texts from that business through MRGNZ. You will receive one confirmation message.

Help: Reply HELP for help, or contact the business named in the message, or email support@mrgnz.com.

Carriers are not liable for delayed or undelivered messages. Mobile information is not shared with third parties for marketing purposes; see our Privacy Policy.

7. Your data and our license

You own the data you enter (financial figures, businesses, invoices, customers, logos). You grant us a license to host, process, back up and display it solely to provide and improve the Service.
You can export or delete your data by contacting us. After account closure we delete your data within 90 days, except backups (purged on their normal cycle) and records we must keep by law.
We use industry-standard hosting and encryption (see Privacy Policy) but no system is perfectly secure. Keep your own records; MRGNZ is not a system of record for tax or legal purposes.
Team members you add can view and change your data. Removing a team member ends their access immediately.

8. Not financial, tax or legal advice

MRGNZ calculates margins, ratios and "health check" ratings from the numbers you enter, using general benchmarks. These are informational tools, not accounting, financial, tax or legal advice, and they depend entirely on the accuracy of your inputs. Benchmarks are general ranges and may not fit your business. Consult a qualified CPA, attorney or financial advisor before making financial, tax, pricing or legal decisions. MRGNZ does not prepare tax filings or financial statements for third parties.

9. Warranty disclaimer and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MRGNZ AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD. Some jurisdictions do not allow certain limitations; in those places the limitations apply to the fullest extent permitted.

10. Governing law, arbitration and class action waiver

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally within 30 days of written notice will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Dallas County, Texas, except that either party may bring qualifying claims in small-claims court or seek injunctive relief in court for intellectual-property or unauthorized-access matters. You and MRGNZ each waive the right to a jury trial and to participate in a class or representative action. If the class-action waiver is found unenforceable for a particular claim, that claim proceeds in court, not arbitration.

11. Intellectual property

The Service, including its software, design, logo and content (excluding your data), is owned by MRGNZ and protected by copyright and trademark law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business while your subscription is active. Feedback you send us may be used without obligation.

12. Third-party services

The Service relies on third parties (hosting, database, payment processing, email and SMS delivery). Their availability affects ours; we are not responsible for their outages or acts. Links to third-party sites are provided for convenience only.

13. Changes to the Service or these Terms

We may modify the Service at any time. We may update these Terms by posting the new version with a new effective date and, for material changes, emailing account owners at least 14 days in advance. Continued use after the effective date is acceptance.

14. Termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or legal risk, with notice where practical. Sections 5, 7–11 and 15 survive termination.

15. General

These Terms plus the Privacy Policy are the entire agreement between us regarding the Service. If any part is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale or reorganization.
